Advised one of the largest local food and beverages companies in relation to its USD 20-million in-kind shareholder capital increase and the subsequent private placement of shares to a state-owned institutional investment company. Our team provided advice on a number of complex regulatory issues relating to the structure of the arrangement, documentation and registration requirements.

Represented an industry-leading wine producer in the sale of its USD 10-million equity stake to an institutional private equity investment company. The transaction marked one of the largest deals for the given industry. Our advice encompassed structuring and negotiation of the deal, preparation of a shareholder and shareholder exit agreements.
